Purpose & Parties
This Credential Agreement (“Agreement”) is entered into between the credential holder (“Holder”) and the ICONIC Board of Holistic Health (“Board”). By accepting an ICONIC Board credential, you agree to all terms of this Agreement.
This Agreement governs the issuance, use, maintenance, renewal, and potential revocation of ICONIC Board professional credentials. It establishes the mutual rights and obligations of both the Holder and the Board, and is designed to protect the public, uphold credential integrity, and ensure consistent professional standards.
Credential Grant
The Board grants a personal, non-exclusive, non-transferable, revocable credential designation to qualified applicants who meet the published eligibility requirements and successfully complete the credentialing process.
Important: The credential is a mark of professional standards compliance, not a guarantee of competence or outcomes. The credential signifies that the Holder has met the Board's published standards at the time of issuance and has agreed to uphold the ethical and professional obligations set forth in this Agreement and the Code of Ethics.
Credential Tiers
The ICONIC Board issues credentials across four professional tiers, each representing a distinct level of education, experience, and professional responsibility:
Holder Obligations
By accepting and maintaining an ICONIC Board credential, the Holder agrees to the following ongoing obligations:
- Maintain compliance with the Terms of Service, Code of Ethics, and this Agreement
- Complete required continuing education (CE) hours per renewal period
- Pay all applicable fees by published deadlines
- Keep contact information current with the Board at all times
- Notify the Board of any changes affecting credential eligibility, including legal proceedings, disciplinary actions by other bodies, or changes in professional status
- Cooperate fully with Board inquiries, audits, and investigations
- Use credential marks strictly per the Board's published usage guidelines
Credential Display & Usage
Credential holders are granted the following usage rights, subject to continued compliance with this Agreement:
- Post-nominal letters: The appropriate designation (e.g., “Jane Doe, IBC-HHP™”) may be used in professional communications, business cards, and marketing materials while the credential is active
- Digital badge: A Board-issued digital badge is provided for use on websites, email signatures, and online profiles
- Physical certificate: An official certificate is provided for office or practice display
Credential marks must not be modified, altered, or combined with other graphics without prior written approval from the Board. The credential must not be used to imply Board endorsement of any specific product, service, supplement, or commercial offering.
Renewal Requirements
Credentials must be renewed on the published cycle (typically annual or biennial, depending on the credential tier). Renewal requires completion of all of the following:
- Completed continuing education (CE) hours as specified for the credential tier
- Payment of the applicable renewal fee by the published deadline
- Attestation of continued compliance with this Agreement and the Code of Ethics
- Updated professional information, including contact details and practice status
Grace Period: A sixty (60) day grace period is provided after the credential expiration date for late renewal. During the grace period, the credential is considered inactive and must not be used in any professional capacity. After the grace period expires, the credential lapses and a formal reinstatement process is required, which may include additional fees, review of CE compliance, and reapplication.
Credential Suspension & Revocation
The Board reserves the right to suspend or revoke credentials under the following circumstances:
- Suspension: The Board may suspend a credential pending investigation of a complaint, report, or potential violation. Suspension is not a determination of wrongdoing.
- Revocation: Credentials may be revoked following a formal determination per the Board's Disciplinary Procedures.
- Voluntary surrender: Holders may voluntarily surrender their credential at any time by providing written notice to the Board.
Upon suspension or revocation, the Holder must immediately cease all use of credential designations, marks, badges, and certificates. Continued use after suspension or revocation constitutes a violation of this Agreement and may result in further action.
Fees & Payments
The following fee categories apply to ICONIC Board credentials:
- Application fees: As published on the Board website at the time of application. Application fees are non-refundable except as specified in the Terms of Service.
- Renewal fees: As published on the Board website, due by the published renewal date for each credential cycle.
- Late fees: Additional fees may apply for renewals submitted after the expiration date but within the grace period.
- Reinstatement fees: As published at the time of reinstatement, applicable to credentials that have lapsed beyond the grace period.
All payments are processed through Board-approved payment processors. The Board reserves the right to adjust fee schedules with sixty (60) days advance notice published on the website.
Confidentiality & Data
The Board maintains the confidentiality of application materials, investigation records, and credential holder personal information. Specific data handling practices include:
- Application materials are treated as confidential and accessible only to authorized Board personnel involved in the credentialing process
- Public directory listings are subject to consent per the Terms of Service
- All application data is collected, stored, and processed in accordance with the Board's Privacy Policy
- Credential verification inquiries from third parties will confirm active/inactive status only, unless additional disclosure is authorized by the Holder
Limitation of Liability
The Board provides the credential on an “as-is” basis. The following limitations apply:
- The Board is not liable for any third-party reliance on credential status, including decisions made by employers, clients, or institutions based on a Holder's credential
- The Board is not liable for the Holder's professional practice, outcomes, or any claims arising from services provided by the Holder
- The Board's maximum aggregate liability under this Agreement is limited to the total fees paid by the Holder during the current credential period
Nothing in this section limits liability for fraud, willful misconduct, or any liability that cannot be excluded by applicable law.
Indemnification
The Holder agrees to indemnify, defend, and hold harmless the Board, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:
- The Holder's professional practice, including any services provided to clients
- Misuse of credential marks, designations, or Board-issued materials
- Any violation of this Agreement, the Code of Ethics, or applicable law by the Holder
- Any misrepresentation by the Holder regarding their credential status, qualifications, or Board affiliation
Termination
This Agreement terminates automatically upon any of the following events:
- Credential revocation by the Board following disciplinary proceedings
- Voluntary surrender of the credential by the Holder
- Failure to renew the credential within the grace period
- Mutual written agreement between the Holder and the Board
The following obligations survive termination of this Agreement: immediate cessation of all credential mark usage, confidentiality obligations, and indemnification obligations. The Holder must destroy or return all physical certificates and remove all digital badges within thirty (30) days of termination.
Governing Law & Disputes
This Agreement is governed by the dispute resolution provisions set forth in the Terms of Service. The following additional provisions apply:
- Arbitration: Disputes with an amount in controversy of $10,000 or less shall be resolved through binding arbitration administered by a nationally recognized arbitration body, with the location and rules as specified in the Terms of Service
- Litigation: Disputes exceeding $10,000 may be brought in the courts of competent jurisdiction as specified in the Terms of Service
- Injunctive relief: Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm
Entire Agreement
This Agreement, together with the Terms of Service and Code of Ethics, constitutes the entire agreement between the Holder and the Board regarding the subject matter herein. This Agreement supersedes all prior or contemporaneous understandings, agreements, or representations, whether written or oral.
Amendments to this Agreement require written notice per the procedures set forth in the Terms of Service. No waiver of any provision of this Agreement shall be effective unless made in writing and signed by an authorized representative of the Board.
